Standard Enterprise Terms • Governed under English Common Law / DIFC Courts • Client Owns 100% of Custom Code.
Unlike commercial SaaS ERP vendors who lock you into perpetual per-seat license subscriptions, FINDUID transfers 100% full intellectual property (IP) and copyright ownership of all custom bespoke application code, database structures, and workflow scripts to your organization upon milestone completion.
FINDUID provides forensic operational audits, bespoke ERP engineering, timesheet intelligence software, automated invoicing engines, and ongoing cloud maintenance. Each project proceeds under an agreed Statement of Work (SOW) defining milestones, deliverables, and user sign-offs.
Unless explicitly modified by a custom enterprise enterprise SOW, our standard baseline commercial structure is:
Both parties agree to hold all proprietary data, financial statements, labor rates, customer contracts, and source code in the strictest confidence. FINDUID signs bilateral enterprise NDAs prior to initiating the forensic audit stage.
FINDUID warrants that all delivered software will operate substantially in accordance with the functional specifications outlined in the SOW. Clients receive a standard 30-day User Acceptance Testing (UAT) window to inspect, test, and approve milestone deliveries before final sign-off.
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages. FINDUID's aggregate liability under any engagement shall not exceed the total fees paid by the client in the preceding 12-month period.
These Terms and any related SOW shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC) or English Common Law, without regard to conflict of law principles. Any unresolved disputes shall be submitted to the exclusive jurisdiction of the DIFC Courts.
